Introduction

Welcome to the Hagl application ("Hagl" or "Application"), created and operated by Number 1 Ventures ("Number 1 Ventures," "we," "us," or "our"), headquartered in California. These Terms and Conditions ("Terms") govern your use of Hagl. Please read these Terms carefully before using the Application.

By accessing, downloading, or using Hagl, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please refrain from using the Application.

1. Acceptance of Terms

By using Hagl, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree with any part of these Terms or our Privacy Policy, please do not use the Application.

2. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use Hagl. By using the Application, you represent and warrant that you are eligible to enter into these Terms and have the capacity to do so.

3. User Accounts

Registration: To use certain features of Hagl, you may need to create a user account. You agree to provide accurate and up-to-date information during the registration process.

Security: You are responsible for maintaining the security of your account credentials and all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Use of Hagl

License: Number 1 Ventures grants you a personal, revocable, non-exclusive, and non-transferable license to use Hagl for your personal, non-commercial purposes. You agree not to use the Application for any purpose that is unlawful or prohibited by these Terms.

Restrictions: You must not:

  • Reverse engineer, decompile, or disassemble the Application.

  • Modify, adapt, or create derivative works of the Application.

  • Use Hagl in any manner that could harm, damage, or impair its functionality.

  • Use Hagl to violate the rights of others, including intellectual property rights, privacy, and publicity rights.

  • Distribute, sell, or lease the Application to any third party.

You shall not and shall not permit any third party to:

  • Access or attempt to access Hagl that is not intended to be available to you;

  • Without Hagl's advance written consent, use, ship or access Hagl (or any part) outside or from outside of the United States;

  • Perform or attempt to perform any actions that would interfere with the proper working of Hagl, prevent access to or use of Hagl by other users, or impose a large load on Hagl's infrastructure, network capability or bandwidth; or

  • Use Hagl except as permitted in these Terms.

5. Privacy

Your use of Hagl is also governed by our Privacy Policy, which outlines how we collect, use, and disclose your personal information. By using the Application, you consent to the practices described in the Privacy Policy.

You must implement reasonable security measures designed to protect the personal information that you collect, use, disclose, transfer, or otherwise process in connection with your use of Hagl. You acknowledge and agree that you are solely responsible for all privacy and information security obligations and liabilities relating to any data that you download, export, or otherwise transfer from Hagl to your own information environment.

Unless you have received prior written consent to do so from Hagl, you may not use Hagl to: (a) process personal information revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership; or genetic data, biometric data, data concerning health, or data concerning a natural person’s sex life or sexual orientation; or (b) upload or incorporate, process transactions involving, or otherwise provide Hagl with, any “protected health information” within the meaning of the Health Insurance Portability and Accountability Act of 1996, as amended (HIPAA).

You must respond in a legally appropriate manner to any legally valid requests from individuals pertaining to the individual’s privacy or data subject rights at your sole cost and expense.

Communicating with Customers

  • You must comply with Applicable Laws, including by obtaining any legally required consent, when collecting and using customer contact details to communicate with your customers through Hagl. You must promptly honor any customer opt-out.

  • You may not use Hagl to send marketing communications except to the contact information provided directly to you by the consumer and with the proper consumer choice as required by law.

6. Maintenance

Hagl  may perform maintenance which may result in service interruptions, delays, or errors. Hagl will not be liable for any such interruptions, delays, errors, or bugs.

7. Termination

Number 1 Ventures may terminate, suspend, or restrict your access to Hagl at any time without notice, for any reason, including a breach of these Terms. You may also terminate your use of the Application at any time.

Upon termination of these Terms for any reason, you must immediately stop using Hagl and your license to use Hagl under these Terms will end. Upon your termination, Hagl will provide you with a reasonable period of time to allow you to extract your Account Data. 

8. Disclaimers and Limitations of Liability

Hagl is provided "as is," and we make no warranties, express or implied, about its accuracy, reliability, or availability.

To the extent permitted by law, Number 1 Ventures and its affiliates shall not be liable for any indirect, consequential, special, or punitive damages arising out of or in connection with your use of the Application.

9. Changes to Terms

Number 1 Ventures reserves the right to update and revise these Terms at any time. We will notify users of any material changes. Your continued use of Hagl after the changes indicate your acceptance of the updated Terms.

10. Fees

For your use of Hagl, you agree to pay the applicable fees, and all applicable taxes, duties, or other governmental assessments based on your use of Hagl. Hagl may change the fees from time-to-time and, if it does, it will provide you with 30 days’ notice. Hagl may change the fees at any time.

11. Intellectual Property

All right, title and interest in and to all confidential information and intellectual property related to Hagl (including Marks, all software, the content of any materials, web screens, layouts, processing techniques, procedures, algorithms, and methods and any updates, changes, alterations, or modifications to or derivative works from such intellectual property), owned, developed or licensed by Hagl at any time or employed by Hagl in connection with Hagl, shall be and remain, as between Hagl and you. You may not use Marks in any manner, including in any advertisements, displays, or press releases, without Hagl's prior written consent. Marks means Hagl's names, logos, emblems, brands, service marks, trademarks, trade names, taglines, or other proprietary designations.

12. Compliance with privacy laws

The App Provider makes the following additional commitments, representations, and warranties to Customer:

  • The App Provider will only process Customer Data and Personal Information on behalf of, and as Service Provider of, the Customer, and not collect, retain, use, or disclose that data for any purpose other than to perform the App Provider’s obligations under this Agreement, as permitted under CCPA and other applicable privacy and data protection laws (collectively, “Privacy Laws”). In no event will the App Provider “sell” (as defined by Privacy Laws) any such personal information.

  • The App Provider will not collect, use, retain, disclose, sell, or otherwise make Customer Data or Personal Information available for App Provider’s own commercial purposes or in a way that does not comply with the CCPA or other Privacy Laws.

  • App Provider will limit personal information collection, use, retention, and disclosure to activities reasonably necessary and proportionate to provide the Services set forth in the Agreement or another compatible operational purpose.

13. Data subject rights - assistance with requests

App Provider will reasonably cooperate and assist Customer with meeting Customer's CCPA and Privacy Law compliance obligations and respond to CCPA-related inquiries, including responding to verifiable consumer requests, taking into account, the nature of App Provider's processing, and the information available to App Provider. App Provider will make available to Customer, in a manner consistent with the functionality of the Service and App Provider’s role as a Service Provider of Personal Information of data subjects, the ability to fulfill data subject requests to exercise their rights under Privacy Laws.

If App Provider receives a request from Customer’s data subject to exercise one or more of its rights under Privacy Laws in connection with the Services, App Provider will redirect the data subject to make its request directly to Customer. Customer will be responsible for responding to any such request including, where possible, by using the functionality of the Services. App Provider shall comply with reasonable requests by Customer to assist with Customer’s response to such a data subject request.

App Provider must notify the Customer immediately if it receives any complaint, notice, or communication that directly or indirectly relates either party's compliance with Privacy Laws relating to provisioning of the Services.

14. Negotiated Price and Inventory Availability Disclaimer

The negotiated price for any product or service is subject to change without notice. Additionally, the availability of inventory is not guaranteed and may vary. We reserve the right to reject or modify any negotiated price, including but not limited to ones that have been confirmed due to errors, omissions, changes in costs or inventory availability. We will make reasonable efforts to inform you of any such changes in a timely manner.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of California.
